Among them, the SMD LED construction project plans to use the raised funds of 4,107,934,300 yuan, acquire 49% equity of Liangyou Hardware and use the raised funds of 10.84 million yuan for the capital increase project, and use the raised funds of 200 million yuan to supplement the corporate liquidity.

In order to effectively reduce the cost of LED packaging raw materials and improve profitability, Hongli Optoelectronics intends to acquire a 49% stake in Dongguan Liangyou Hardware Products Co., Ltd. at a price of 78.4 million yuan.

Liao Jianwen and You Guozhen promised that the net profit realized by Liangyou Hardware in 2015, 2016 and 2017 will not be less than 22 million yuan, 25 million yuan and 28 million yuan respectively. If during the commitment period, Liangyou Hardware's accumulated net profit at the end of the current period is lower than the cumulative net profit at the end of the current period, Liao Jianwen and You Guozhen shall, within 10 working days after the issuance of Liangyou Hardware's annual audit report, The listed company pays cash compensation. If the sum of the net profits actually realized during the commitment period is higher than the sum of the net profits promised during the commitment period, the listed company will reward Liao Jianwen and You Guofan.
